Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and HEJI Technology LLC regarding your use of our website and services. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

User Responsibilities

Intellectual Property Rights

All content, materials, and intellectual property on our website and in our services, including but not limited to text, graphics, logos, software, and documentation, are owned by or licensed to HEJI Technology LLC and are protected by copyright, trademark, and other intellectual property laws.

Unless otherwise specified in a separate agreement, any custom solutions, code, or systems developed by us for you will be subject to the terms outlined in your service agreement. Pre-existing intellectual property and proprietary methodologies remain the property of HEJI Technology LLC.

Payment Terms

Payment terms for our services will be specified in individual service agreements or invoices. General payment terms include:

• Fees are due according to the payment schedule outlined in your agreement
• Late payments may be subject to interest charges and service suspension
• All fees are non-refundable unless otherwise stated in writing
• You are responsible for all taxes associated with the services
• We reserve the right to modify our pricing with reasonable notice

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This includes but is not limited to:

• Business strategies and plans
• Technical information and specifications
• Financial information
• Customer data and lists
• Trade secrets and proprietary methodologies

Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or as necessary to perform the services.

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, except as expressly stated in a service agreement:

• Our services are provided on an as-is and as-available basis
• We make no warranties regarding uninterrupted or error-free service
• We do not guarantee specific results or outcomes
• We disclaim all implied warranties including merchantability and fitness for a particular purpose

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, HEJI Technology LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to our services.

Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve months preceding the claim.

These limitations apply regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless HEJI Technology LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any rights of another party
• Your negligence or willful misconduct

Term and Termination

These terms remain in effect while you use our services. Either party may terminate a service agreement according to the terms specified in that agreement.

We reserve the right to suspend or terminate your access to our services immediately, without prior notice, if you breach these terms or engage in conduct that we determine to be inappropriate or harmful.

Upon termination, you must cease all use of our services and any outstanding fees become immediately due and payable.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party services or infrastructure.

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through the following process:

• Initial good faith negotiations between the parties
• Mediation if negotiations are unsuccessful
• Binding arbitration in Sacramento, California if mediation fails

Each party shall bear its own costs unless otherwise determined by the arbitrator. The arbitrator's decision shall be final and binding.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Sacramento County, California.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

Entire Agreement

These terms, together with any service agreements and other documents incorporated by reference, constitute the entire agreement between you and HEJI Technology LLC regarding the use of our services and supersede all prior agreements and understandings.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes by posting the updated terms on our website with a new effective date. Your continued use of our services after such changes constitutes acceptance of the modified terms.
